Adani Power, led by Gautam Adani, has announced the acquisition of DB Power Ltd. (DBPL) in an all-cash transaction valued at approximately ₹7,017 crore. The agreement was formalised on May 2, 2025. Initially outlined in a memorandum of understanding valid until October 31, 2022, the terms were extended by mutual consent.
DB Power operates two 600 MW thermal power plants in the Janjgir-Champa district of Chhattisgarh. This acquisition will bolster Adani Power’s presence and operational capacity in the state’s thermal power sector. The transaction is subject to regulatory approvals, including clearance from the Competition Commission of India, and other necessary consents following due diligence.
Upon completion, Adani Power will gain full ownership of Diligent Power Pvt. Ltd. (DPPL), the holding company of DB Power. In turn, DPPL holds 100% of DB Power, effectively granting Adani Power complete control of its operations.
DB Power, incorporated on October 12, 2006, under the Registrar of Companies in Gwalior, has proven to be a profitable entity. It has secured long- and medium-term power purchase agreements (PPAs) for 923.5 MW of its capacity, backed by fuel supply agreements with Coal India, ensuring a consistent fuel source for its operations.
